1. Services
Incyte Media Inc. will provide the hosting and/or maintenance services corresponding to the plan(s) selected below. Hosting services include managed WordPress infrastructure, daily backups, core/theme/plugin updates, SSL, malware scanning, CDN delivery, and uptime monitoring. Maintenance services include content and layout changes as defined by the selected plan tier.
2. Term & Renewal
This Agreement begins on the Effective Date and continues for an initial term of 12 months, automatically renewing for successive 12-month terms unless either party provides written cancellation notice at least 30 days prior to renewal.
3. Change Requests (Maintenance Plans)
One change request = one submission covering related changes. Unused requests do not carry over. Turnaround times are defined by plan tier. Changes requiring new functionality or development are quoted separately at $100/hr in 15-minute increments.
4. Fees & Payment
Fees are billed monthly on the client’s anniversary date, or annually in advance at the client’s election. Clients who prepay annually for hosting receive a discounted rate equivalent to 10 months for the price of 12 (two months free). For Professional hosting plans, the applicable rate will be confirmed in writing by Incyte Media prior to or upon commencement of services and incorporated into this Agreement as an addendum. Payment is due within 30 days of invoice receipt. Incyte Media reserves the right to suspend services if payment is not received within 30 days. No late fees apply.
5. Cancellation
Either party may cancel with 30 days written notice. The client remains responsible for all fees through the end of the notice period. No refunds on fees already paid, including annual prepayments.
6. Limitation of Liability
Incyte Media’s liability shall not exceed fees paid in the 30 days preceding any claim. Incyte Media is not liable for downtime, data loss, or third-party service failures beyond included hosting services.
7. Governing Law
This Agreement is governed by the laws of the State of Washington. Disputes shall be resolved in Spokane County, Washington.
